All services are provided in accordance with the standards set by the Institute of Chartered Accountants of Nepal (ICAN), applicable Nepalese laws, and international professional standards where applicable. Our professionals are bound by the ICAN Code of Ethics.
The scope of each engagement will be clearly defined in a Letter of Engagement or Service Agreement signed by both parties. Work will not commence until a formal engagement letter has been executed. Any changes to scope must be agreed upon in writing.
Clients are responsible for providing complete, accurate, and timely information required for service delivery. We rely on client-provided information and cannot be held responsible for errors arising from incomplete or inaccurate information provided to us. Clients must inform us of any relevant changes to their business or circumstances.
Professional fees are based on time, complexity, seniority of staff involved, and the nature of services. Fees are quoted and agreed upon before commencement of work. Invoices are payable within 30 days of issuance unless otherwise agreed. Overdue amounts may incur interest charges.
We maintain strict confidentiality of all client information in accordance with ICAN professional standards. Client information will not be disclosed to third parties without your consent, except as required by law.
Our liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for any indirect, consequential, or special damages. These limitations do not apply in cases of fraud or gross negligence.
For audit engagements, we maintain independence as required by ICAN standards. Clients must not place us in a position that compromises our professional independence. Any potential conflicts of interest must be disclosed promptly.
All work products, reports, and documents prepared by us remain our intellectual property until fees are paid in full. Upon full payment, clients receive a license to use deliverables for their intended purpose. Our working papers remain our property.
Either party may terminate an engagement with 30 days written notice. We may withdraw from an engagement immediately if circumstances arise that compromise our professional obligations. Fees for work completed to the date of termination will be payable.
These terms and any engagement agreements are governed by the laws of Nepal. Any disputes will be subject to the jurisdiction of the courts of Kathmandu, Nepal, or resolved through arbitration as agreed in the engagement letter.
We reserve the right to update these Terms of Service. Significant changes will be communicated to existing clients. Continued engagement after notification constitutes acceptance of updated terms.
